End User License Agreement

Acceptance of Terms

This End User License Agreement ("Agreement") governs access to and use of Red Turaco software, platforms, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by this Agreement and any applicable order forms or statements of work.

License Grant

Red Turaco grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations, subject to this Agreement and any applicable subscription terms.

Acceptable Use

• Do not use the Services to violate laws, regulations, or third-party rights.
• Do not attempt to reverse engineer, decompile, or extract source code.
• Do not interfere with security controls, availability, or system integrity.
• Do not upload malware, harmful scripts, or abusive content.
• Do not use the Services to send unsolicited communications or spam in violation of messaging or telephony laws.

Customer Data

You are responsible for the lawfulness of data you submit, transmit, or process through the Services. You must ensure that you have the rights and permissions necessary to use any personal data or content. We process customer data according to documented instructions and applicable agreements.

Third-Party Services

The Services may integrate with third-party platforms, including communications, analytics, or accounting tools such as QuickBooks. Use of third-party services is governed by their own terms, and Red Turaco is not responsible for third-party functionality or data practices.

Intellectual Property

The Services, including all software, documentation, and branding, are owned by Red Turaco or its licensors and are protected by intellectual property laws. This Agreement does not grant you any ownership rights in the Services.

Feedback

If you provide feedback or suggestions, you grant Red Turaco a non-exclusive, royalty-free, worldwide license to use, modify, and incorporate the feedback into our products and services without obligation to you.

Confidentiality

Any non-public information disclosed in connection with the Services should be treated as confidential and used only to fulfill obligations under this Agreement.

Fees and Payment

If your access is provided under a paid subscription, you agree to pay all fees described in your order form. Fees are non-refundable except as required by law or expressly stated in the order form.

Suspension and Termination

We may suspend or terminate access if you materially breach this Agreement, if required by law, or to protect the security of the Services. Upon termination, your license to use the Services ends, and you must stop all use.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Red Turaco will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill arising from or related to the Services.

Indemnification

You agree to indemnify and hold harmless Red Turaco and its affiliates from claims, damages, liabilities, and expenses arising out of your use of the Services, your data, or your violation of this Agreement.

Governing Law

This Agreement is governed by the laws of the jurisdiction in which Red Turaco is established, without regard to conflict of law principles.
